On April 28, 2006, Supervisory Council of Vneshtorgbank held its meeting. Members of the Council approved a proposal submitted by Russian Ministry of Property, which is holding 99.96% of Vneshtorgbank's voting shares, to discuss VTB annual report and financial statements at the Shareholders' annual general meeting. The agenda of the general meeting will also include Vneshtorgbank's profit allocation and dividend payment based on the 2005 year performance, appointment of VTB auditor, and election of the Bank's Supervisory Council and Auditing Commission.
The Supervisory Council also approved a decision to hold an extraordinary general meeting of Vneshtorgbank's' shareholders on June 30, 2006. In view of Promstroybank merging with Vneshtorgbank, the shareholders will consider the following issues: reorganizing Vneshtorgbank through Promstroybank being merged with it, splitting Vneshtorgbank's shares and making amendments to the Bank's Charter to accommodate the changes made.
